(NASDAQ: MTC) (“MMTEC”, “we”, “our” or the “Company”), a China-based technology company that provides access to the U.S. financial markets, today announced it has entered into a securities purchase agreement with institutional investors for the purchase and sale of 4,300,000 common shares at a purchase price of $3.70 per share in a registered direct offering. The gross proceeds of the offering will be approximately $15.9 million before deducting placement agent fees and other estimated offering expenses. The closing of the offering is expected to occur on or about February 24, 2021, subject to the satisfaction of customary closing conditions.
A.G.P./Alliance Global Partners is acting as sole placement agent for the offering.
The Company intends to use the net proceeds from this offering for growth capital and general working capital purposes.
